Unilife Files Shelf Registration Statement
Unilife Corporation (“Unilife” or the “Company”) (NASDAQ: UNIS; ASX: UNS) today advised that it has filed a shelf registration statement on Form S-3 with the U.S. Securities and Exchange Commission (“SEC”). The Company also filed a Post-Effective Amendment to convert its current Registration Statement on Form S-1 originally declared effective by the SEC on June 29, 2010, into a Form S-3.
The filing of S-3 registration statements is common practice for U.S listed companies, and typically occurs 12 months after the company has commenced trading on a U.S. exchange. Unilife commenced trading on the NASDAQ Global Market exchange in February 2010.
The S-3 registration statement provides blanket coverage for securities, and registers the common stock underlying the options issued to Australian investors as part of a private placement completed in November 2010.
