Tourism Holdings Limited (ASX:THL) has provided an update on the non-binding indicative offers it received from both the BGH Consortium and Indie Campers. The announcement, delivered by Chair Cathy Quinn at the company’s 2026 Annual Meeting, detailed the progress of the potential transactions. Tourism Holdings Limited is a global tourism operator listed on the NZX and ASX, and is recognised as the largest commercial RV rental operator in the world, managing various rental brands, manufacturing, and tourism attractions across New Zealand, Australia, and North America.
Chair Cathy Quinn confirmed that the comprehensive due diligence process with both prospective bidders has now largely concluded. As a result, THL has received revised non-binding proposals from both the BGH Consortium and Indie Campers. The Board is actively reviewing these updated proposals and is engaging with both parties regarding their specific terms. While acknowledging that shareholders may be seeking information, particularly concerning pricing, Ms. Quinn stated that discussions remain confidential. The Board believes it is not in the best interests of shareholders to publicly disclose these terms at this stage, especially while negotiating in a competitive process.
The company underscored that both proposals remain non-binding and are subject to various conditions. There is currently no certainty that either offer will ultimately result in a transaction. Shareholders are not required to take any action at this time, and the Board reiterated its commitment to keeping the market fully informed in accordance with its continuous disclosure obligations. The Board’s primary focus throughout this ongoing process remains the best interests of THL’s shareholders.
