NEXTDC Limited (ASX: NXT) announced on 5 November 2026 that it had noted an aftermarket share raid conducted by Ackland Investments No.1 Pty Limited. Ackland, a vehicle jointly owned by Goodman Group (ASX: GMG) and Digital Realty Trust, Inc. (NYSE: DLR), sought to acquire NEXTDC shares. NEXTDC is an ASX 100-listed technology company and Asia’s most innovative Data Centre-as-a-Service provider, building the infrastructure platform for the digital economy by delivering critical power, security, and connectivity. The raid, conducted on 4 November 2026, aimed to acquire NEXTDC shares at A$9.50 each, potentially leading to a maximum holding of 9.9% of the company’s ordinary shares. NEXTDC stated it does not know the outcome of this book build.

During the aftermarket book build, Goodman and Digital Realty reportedly communicated through their broker to investors that they held “no intention of submitting a control proposal or making a takeover bid for the Company at this time, but reserve their right to do so.” NEXTDC’s Board characterised this move as opportunistic, noting that the share raid occurred just two weeks after the company’s 21 October 2026 announcement regarding the M3 Melbourne power delay and revised FY27 guidance. Furthermore, the book build was conducted exclusively for institutional investors.

The Board affirmed that it is not currently in possession of any takeover proposal. It reiterated its commitment to considering any bona fide approaches on their merits and in the best interests of all NEXTDC shareholders. At this time, shareholders are advised that no action is required in relation to this announcement. The company also confirmed the appointment of Barrenjoey Advisory Pty Limited and UBS Securities Australia Limited as joint lead financial advisers, Cadence Advisory as its independent financial adviser, and Mallesons as its legal adviser to assist with the matter.
