Ingenia Communities Group (ASX:INA) has announced the receipt of a further revised, non-binding indicative proposal dated 27 October 2026 from Warburg Pincus LLC and its affiliates to acquire 100% of Ingenia’s stapled securities. Ingenia Communities Group (ASX:INA) is a leading operator, owner, and developer of communities offering quality affordable rental and holiday accommodation focused on the growing seniors’ market in Australia. The Group manages 96 communities and development sites across Ingenia Lifestyle, Ingenia Gardens, Ingenia Holidays, and Ingenia Rental. The Latest WP Proposal offers $5.45 cash per stapled security, which Warburg Pincus proposes will not be reduced by a permitted distribution of up to $0.05 cash. This would result in securityholders receiving a total of up to $5.50 cash per stapled security, an increase of $0.10 per security over the prior non-binding indicative proposal from AVID Property Group Holdings Pty Ltd (AVID).
Following consultation with its financial and legal advisers, the Ingenia Board determined the Latest WP Proposal is or could reasonably be a ‘Superior Proposal’ for the purposes of the fiduciary out in the existing AVID Process Deed. This determination allows Ingenia to engage with Warburg Pincus and its proposed co-investors, Discovery Parks and LDR Capital, providing due diligence access. Consequently, Ingenia will now commence the matching right process, notifying AVID of the material terms of the Latest WP Proposal and inviting a matching or superior counterproposal for consideration by Sunday, 1 November 2026. The Warburg Pincus proposal is conditional upon Ingenia approving its co-investors, granting exclusive due diligence, securing binding debt finance, and terminating its existing scheme implementation deed with Peet Limited.
Ingenia clarified its Board has not determined the Latest WP Proposal to constitute a ‘Bidder Superior Proposal’ under the Peet SID at this stage, and the company continues to comply with its obligations regarding its proposed acquisition of Peet. Securityholders are advised there is no certainty that either the Latest WP Proposal or the AVID Proposal will result in a formal binding offer for Ingenia, or that any transaction will ultimately eventuate. Ingenia will keep securityholders informed in accordance with its continuous disclosure obligations, and securityholders are not required to take any action regarding these proposals.
