IDENTITII LIMITED (ASX: ID8) has announced a new prospectus detailing a two-part option offer to its shareholders, aimed at rewarding loyalty and partially offsetting potential dilution from recent funding activities. Identitii, a regtech company, provides a platform through its subsidiary BNDRY, specialising in anti-money laundering (AML), counter-terrorism financing (CTF) compliance, identity verification, and transaction monitoring services. The offers comprise a pro-rata non-renounceable entitlement of Bonus Options and a subsequent Piggyback Options offer.

Under the Bonus Options Offer, eligible shareholders registered at the Bonus Options Offer Record Date will receive 92 Bonus Options for every 100 shares held. These Bonus Options are issued for nil consideration and are exercisable at $0.001 each during a one-month window from 6 May 2027, expiring on 7 June 2027. For every Bonus Option exercised before its expiry, an Eligible Optionholder will receive one Piggyback Option, also exercisable at $0.001, until 7 July 2027. The company estimates a maximum of 4,435,019 Bonus Options and a similar number of Piggyback Options could be issued, potentially raising approximately $8,870 if all options are exercised at their minimal exercise price.

These offers follow a $20 million Convertible Security Funding Agreement with The Blackstone Mercantile Group Ltd. SAC, where Identitii secured a guaranteed $5 million in funding via convertible notes. The company has received $2.6 million of this initial funding, with the remaining $2.4 million anticipated by 30 November 2026. The conversion of these notes, which are convertible into shares at a discount, carries a dilutionary impact for existing shareholders. The Bonus and Piggyback Options are specifically designed to help mitigate this effect. The announcement also references a prior 200:1 capital consolidation, which took effect on 12 August 2026. Investors are advised that the securities offered are considered highly speculative.
