Kip McGrath Education Centres Limited (ASX: KME) has been the subject of an updated takeover offer from Crimson Consulting Australia Pty Ltd, a wholly owned subsidiary of New Zealand-incorporated Crimson Consulting Limited. Kip McGrath Education Centres Limited provides tutoring services for primary and secondary school students, offering academic support across various subjects. The revised off-market takeover bid, formally announced on 12 October 2026, sees an increase in the offer price for all shares in the ASX-listed education provider.

Crimson Australia has formally varied its takeover offer under section 650D of the Corporations Act, raising the consideration from A$0.73 to A$0.75 for each Kip McGrath share. This increased offer price will apply universally to all KME shareholders who accept the offer, including those who have already tendered their shares prior to this variation. The updated terms are detailed in a notice of variation and a third supplementary bidder’s statement, dated 12 October 2026. The Revised Offer continues to be subject to the conditions outlined in the bidder’s statement concerning Rights, including the treatment of KME Dividends.

In a significant development for the target company, the directors of Kip McGrath Education Centres Limited have withdrawn their previous recommendation that shareholders reject the takeover offer. Following the increased consideration, KME’s board now unanimously recommends that shareholders accept the Revised Offer without delay, provided no superior proposal emerges. Crimson Australia is actively encouraging all Kip McGrath shareholders to accept its Takeover Offer immediately. Performance rights holders were also informed that while no direct offer is made for their rights, any shares issued upon vesting during the offer period would be eligible for acceptance under the Takeover Offer before its close.
