Zenith Minerals Limited (ASX: ZNC) is a mineral exploration company. It is currently under the spotlight following an application lodged with the Takeovers Panel by substantial holder Ida Metal Investments Pty Ltd. The application raises concerns regarding the affairs of Zenith, specifically its board’s recent decisions amidst a proposed takeover bid by Forrestania Resources Limited (ASX: FRS) and an alternative funding proposal.
Key to the application is Zenith’s proposed scrip bid with Forrestania, announced on 9 June 2026, offering one Forrestania share for every 4.3 Zenith shares. The Takeover Implementation Deed (TID) includes no-talk clauses and a provision for directors’ performance rights – issued in March 2026 – to vest upon “Effective Control.” On 2 October 2026, Aurenne Group Holdings Pty Ltd, an associate of the applicant, submitted a $5 million equity funding proposal, conditional on the Forrestania bid not proceeding.
Zenith’s board, however, advised on 5 October that it deemed Aurenne’s proposal not to be a “Superior Proposal” under the TID, preventing further engagement. Ida Metal Investments contends this rejection was based on insufficient clarification, lacked independent assessment, and involved directors who could benefit from the Performance Rights’ vesting. The applicant argues this hinders an efficient and informed market for Zenith shares, seeking orders to halt the Forrestania bid, freeze performance rights, and suspend TID clauses for further engagement. A sitting Panel has not yet been appointed, and no decision on proceedings has been made, with the Panel making no comment on the application’s merits at this stage.
