Klevo Group Announces Results of Loyalty Options Offer, Raises $1.29 Million

Klevo Group Limited (ASX: KLV), a financial technology company focused on developing credit capabilities and expanding its Mastercard Program, has announced the results of its pro rata non-renounceable entitlement issue, the Loyalty Options Offer. The offer, which closed on Friday, 25 September 2026, invited eligible shareholders to subscribe for seven Loyalty Options for every eight shares held, at an issue price of $0.022 per option. Each Loyalty Option is exercisable at $1.00 and will expire twelve months after the date of issue.

The Company reported receiving 146 valid applications from eligible shareholders, resulting in the subscription for 59,010,895 Loyalty Options. This take-up represents approximately 41.8% of the total 141,236,128 Loyalty Options initially offered. The successful applications have raised gross proceeds of $1,298,239.69 for Klevo, before associated costs. Notably, all Directors of Klevo Group Limited fully participated in the offer, taking up their respective entitlements.

Klevo Group confirmed that the funds raised from the Loyalty Options Offer will be primarily directed towards technology development to support the launch and growth of its credit capabilities, as well as the international expansion of its existing Mastercard Program and covering offer expenses. Given the offer was not fully subscribed and was not underwritten, the Company will scale back the funds allocated to the international expansion of its Mastercard Program, as foreshadowed in the Prospectus. Entitlements not taken up have lapsed, and no shortfall offer was made. The Loyalty Options are expected to be issued on Friday, 2 October 2026, and will not be quoted on the ASX. They remain exercisable at $1.00 until their expiry on 2 October 2027.
