Crimson Consulting Extends Takeover Offer for Kip McGrath

Kip McGrath Education Centres Limited (ASX: KME) has announced that Crimson Consulting Australia Pty Ltd, a wholly-owned subsidiary of New Zealand-incorporated Crimson Consulting Limited, has extended its off-market takeover offer for all shares in the company. Kip McGrath Education Centres Limited operates a network of after-school learning centres, providing tutoring in maths and English to primary and secondary school students. The offer period, originally set to close on 18 September 2026, has now been extended until 7:00 pm (Melbourne time) on 14 October 2026, unless further extended or withdrawn.

Crimson Australia’s offer, which remains at A$0.73 per ordinary share, aims to provide Kip McGrath shareholders who have not yet accepted the bid with an additional opportunity to do so. The bidder will also be lodging a second supplementary bidder’s statement, which shareholders are encouraged to review carefully once accessible via the Kip McGrath ASX market announcements page.

In addition to the extension, Crimson Australia has provided an update on the status of the offer conditions. The bidder has freed the offer from the ‘no distributions condition’ specifically concerning Resolution 4 (an ordinary dividend of 1.0 cent per share), Resolution 5 (a special dividend of 3.0 cents per share), and Resolution 6 (a further special dividend of 2.0 cents per share, conditional on Resolution 7 being passed). These are as set out in Kip McGrath’s Notice of Annual General Meeting dated 28 August 2026, provided they are passed at the AGM on 29 September 2026. All other conditions to the takeover offer remain in effect.

A new date for giving notice on the status of the remaining conditions has been set for 7 October 2026, which is seven days prior to the revised closing date of the offer. Shareholders are encouraged to accept the takeover offer promptly.
