Neurizon Therapeutics Limited (ASX: NUZ), a late clinical-stage biotechnology company dedicated to advancing innovative treatments for neurodegenerative diseases, has announced a significant partial redemption of its convertible notes. The company, which is currently developing its lead drug candidate NUZ-001 for the treatment of Amyotrophic Lateral Sclerosis (ALS), will redeem 1,000,000 convertible notes held by Obsidian. This strategic transaction aims to reduce the number of outstanding notes to 750,000, demonstrating Neurizon’s proactive approach to capital management.
The redemption is set to be completed for a total consideration of US$1,150,000, exceeding the notes’ face value of US$1,110,000. A crucial component of this agreement is Obsidian’s commitment not to sell Neurizon shares for a period of two months following the transaction. Neurizon emphasised that the ability to execute this redemption underscores its disciplined cost management and unwavering focus on delivering value to shareholders. The Board views this transaction as being in the best interest of its shareholders and has indicated it will continue to diligently review and monitor the company’s funding structure.
Importantly, Neurizon reaffirmed its robust financial position, confirming it remains fully funded through to both the topline readout and the ultimate completion of the Phase 2/3 HEALEY ALS Platform Trial. Interim Executive Chairman, Sergio Duchini, commented on the announcement, stating, “We are pleased to be able to execute this redemption as part of an active and disciplined approach to capital management. The Board considers securing an improved premium on the redemption, together with Obsidian’s agreement to not sell Neurizon shares for two months, reflects an appropriate and considered allocation of shareholder funds.”
