Austal Limited (ASX: ASB) has announced it has received a non-binding indication of interest from a syndicate led by Wildcat Resources LLC, operating as Wildcat Infrastructure, to acquire its United States-based subsidiary, Austal USA. Austal is Australia’s global shipbuilder and defence prime contractor, designing, constructing, and sustaining some of the world’s most advanced commercial and defence vessels. It operates industry-leading shipyards in Australia, the United States, Philippines, and Vietnam. The significant proposal outlines an aggregate enterprise value for Austal USA of between US$1.25 billion and US$1.35 billion, calculated on a cash free and debt free basis.

The indicative offer from Wildcat Infrastructure is expressly conditional on the syndicate successfully completing a four-week period of due diligence. Austal USA plays a pivotal role in delivering large, complex vessels to the United States Department of Defense and the United States Coast Guard, alongside its involvement in projects for US Virginia and Columbia class submarines. Wildcat Resources has explicitly communicated its intention to operate Austal USA as a standalone platform should the acquisition proceed, ensuring the retention of the established Austal brand and maintaining the company’s existing US operations, which are critical for its ongoing defence contracts.

This proposal represents a potentially transformative strategic development for the Perth-headquartered company, which is Australia’s largest defence exporter and first ASX-listed shipbuilder. Austal’s board of directors, along with its appointed advisers, will now carefully consider the non-binding transaction put forth by Wildcat Infrastructure. The announcement, released on 9 September 2026, was approved and authorised for release by Austal Limited CEO, Paddy Gregg, underscoring the importance of this potential acquisition for the company and its shareholders. Further updates regarding the evaluation process of this significant proposal are anticipated as discussions advance between the parties.
