ClearView Acquisition by Zurich Finalised, Shares to Delist

ClearView Wealth Limited (ASX: CVW), a financial services company providing life insurance, wealth management, and superannuation products, today announced the successful implementation of the members’ scheme of arrangement for its acquisition by Zurich Financial Services Australia Limited (Zurich). The Scheme, approved by ClearView Shareholders on 27 July 2026 and the Supreme Court of New South Wales on 30 July 2026, has resulted in Zurich becoming the registered holder of all ClearView Shares.

ClearView Shareholders who held shares on the Scheme Record Date of 7:00pm (Sydney time) on 13 August 2026 have received the Scheme Consideration of $0.60 in cash for each ClearView Share. This payment follows the fully franked Special Dividend of $0.05 per ClearView Share, which was paid on 12 August 2026 to shareholders recorded as of 7:00pm (Sydney time) on 5 August 2026.

Regarding taxation, ClearView confirmed the Australian Taxation Office (ATO) has provided a draft Class Ruling, consistent with the income tax consequences detailed in the Scheme Booklet. ClearView advises that the final Class Ruling, expected post-implementation, will be available on the ATO’s website. Shareholders are recommended to seek independent professional taxation advice, as individual circumstances impact the benefits of franking credits.

With the acquisition complete, official quotation of ClearView Shares on the ASX was suspended from the close of trading on 31 July 2026. ClearView will now apply for its removal from the Official List of the ASX, with effect from the close of trading on 21 August 2026, marking its exit from the public market.
