Adslot Ltd (ASX: ADS) announced today that the Deed of Company Arrangement (DOCA) for its wholly-owned subsidiary, Adslot Technologies Pty Limited (ADT), was executed on 10 August 2026. Adslot operates a suite of digital advertising and marketing platforms and services for various publishers, media brands, and business customers, including a self-service global media marketplace and trading platform. This development follows the appointment of Shabnam Amirbeaggi as voluntary administrator for ADT on 18 June 2026, under Part 5.3A of the Corporations Act 2001 (Cth). Creditors subsequently voted in favour of ADT executing a DOCA with the Administrator at their second meeting on 22 July 2026.
The executed DOCA outlines specific terms regarding the treatment of creditors and the future operation of ADT. A “Deed Fund” will be established, comprising cash at bank, debtors, receivables, and licence fees payable by Adslot Limited, collected during a six-month period from the Administrator’s appointment, net of administrative fees and costs. This fund will be made available to satisfy the debts of non-related creditors on a pro rata basis. Importantly, Adslot Limited, as a secured creditor, along with other related Group entities, will not participate in the distribution of this Deed Fund, though their debt will survive the DOCA.
Furthermore, the DOCA specifies that control of Adslot Technologies Pty Limited has returned to its sole director, allowing the company to continue trading during the deed’s operation. Ownership of the Adslot Technology Platform remains under the control of ADT, thereby returning to the Adslot Group. Shabnam Amirbeaggi, who served as Voluntary Administrator, has now transitioned to the role of Deed Administrator to oversee the DOCA’s operation and effectuation. The successful completion of all obligations under the DOCA is anticipated within approximately seven months, after which full control of ADT will revert to its sole director and Adslot Limited as the 100% shareholder, ending the deed administration.
