The Agency Group Australia Limited (ASX: AU1), a real estate services company focusing on property management and rent roll acquisitions, today responded to media speculation regarding a potential transaction. Addressing an Australian Financial Review (AFR) article from 5 August 2026 concerning discussions with Aura Group, AU1 clarified it did not authorise or contribute to the article’s content.

AU1 confirmed ongoing discussions with Aura Group Holdings Pte Ltd (Aura Group) and other parties. These talks initially centred on establishing and managing AU1’s rent roll fund and exploring financing for rent roll acquisitions, information previously shared in ASX announcements. However, these terms remain unfinalised, with no certainty that discussions will progress or result in a transaction.

The company further disclosed that these discussions evolved into a confidential, non-binding, conditional proposal from Aura Group for a scrip-for-scrip merger. The indicative transaction price is $0.04 per AU1 share, based on an Aura Group valuation still under discussion and contingent on Aura Group’s ASX listing. The AU1 Board has granted Aura Group exclusivity for due diligence and to progress transaction documentation, prioritising shareholder interests.

This proposal is subject to numerous conditions, including definitive documentation, mutual due diligence, regulatory approvals, and customary prerequisites. No timeline is confirmed, and discussions are evolving due to market conditions. The proposal remains incomplete and subject to further consideration. AU1 emphasised that no binding agreement exists, and there is no certainty these discussions will lead to a transaction. Shareholders do not need to take any action. The company will announce material developments in line with its continuous disclosure obligations.
